Y&S DESIGNS LLC CUSTOMER COMMITMENT
At Y&S Designs LLC, we want every Customer to feel confident and supported when working with us. This is a plain-language overview of how we operate. For full details, refer to our official Terms and Conditions of Service.

What You Can Expect from Y&S Designs LLC

  • Quality & Accountability: We aim to deliver high-quality work across vehicle wraps, signage (interior/exterior), apparel, event design, and branding/graphic design. If we make a mistake, we will take responsibility and work promptly to correct it.
  • Transparent Pricing: You will know what you are paying for. If additional work is needed, we will explain why and provide a quote (or updated scope) before proceeding.
  • Respect for Your Rights and Property: Your vehicle, surfaces, content, and brand assets matter. We treat your property and your intellectual property with care.

What We Ask of Customers

  • Accurate Information: Please provide correct details (vehicle year/make/model/trim, measurements, site conditions, spellings, brand guidelines, etc.) so we can design/produce accurately.
  • Timely Approvals: Approve designs, proofs, and quotations promptly to keep your project on schedule.
  • Installer / Site Responsibility (Where Applicable): If a third-party installer or provider is used (or if installation conditions are outside our control), any installation-related damage or issues must be addressed directly with the installer/provider, unless otherwise required by law or expressly stated in writing by Y&S Designs.
  • Deposit & Payment: The 50% Production Payment becomes non-refundable once you approve and sign off on the design/proof and quote because production and scheduling begin. The remaining balance is due at completion (or as stated on your invoice).

Y&S Designs strives to make your experience smooth, creative, and reliable. Our Terms protect both you and Y&S Designs, while this summary reflects the spirit behind our process: partnership, accountability, and customer-first service.


TERMS AND CONDITIONS OF SERVICE — Y&S Designs LLC

Please read these Terms and Conditions of Service (the “Terms”) carefully before using any website of Y&S Designs LLC and its affiliates (“Y&S Designs”), including, but not limited to, Y&S Designs Graphics and all associated features, tools, quotes, invoices, forms, and services (collectively, the “Website” and “Services”).

By accessing or using the Website or Services, each user or customer (“Customer,” “you”) agrees to these Terms. If a Customer does not agree to any portion of these Terms, that Customer should not access or use the Website or Services.

Customers should review these Terms regularly, as Y&S Designs may update them at any time in its sole discretion.

1) Convenience and Information Only

The Website is provided without charge as a convenience and for informational purposes only. Y&S Designs does not warrant that:
(a) the Website will meet Customer expectations;
(b) access will be uninterrupted, error-free, or free of harmful components; or
(c) information obtained through the Website will be accurate or complete.

2) Definitions

  • “Customer” means any individual or entity requesting, purchasing, or receiving design, production, fabrication, printing, installation, or related services from Y&S Designs.
  • “Product” means any vehicle wrap, sign (interior/exterior), graphic, apparel graphic, event graphic, or related item produced, designed, printed, fabricated, installed, or coordinated by Y&S Designs.
  • “Product Design” means any concept, artwork, layout, proof, template, mockup, or visual design created by Y&S Designs for a Product.
  • “Design Deposit” means the initial payment collected at the start of design services (if applicable).
  • “Production Payment” means the fifty percent (50%) non-refundable payment collected after Customer approves the final Product Design and quotation, or any full project payment made in lieu of the Production Payment.
  • “Completion Payment” means the remaining fifty percent (50%) of the project cost collected when the Product is completed and ready for delivery, pickup, shipping, and/or installation (as applicable).
  • “Installer” means any installation professional—whether a Y&S Designs team member, subcontractor, or third party engaged by Customer—responsible for installing or removing a Product.
  • “Print & Ship” means Customer’s option to have Y&S Designs produce the Product and ship/deliver it to Customer (or Customer’s installer) for installation by Customer or an installer of Customer’s choosing.
  • “Website” means Y&S Designs Graphics and all related sites, platforms, services, and tools provided by Y&S Designs.

3) Design Deposit, Production Payment & Completion Payment

Y&S Designs may require separate payments at different stages of a project, each serving a distinct purpose.

(a) Design Deposit (if applicable).
Collected at the start of design services. Unless stated otherwise in writing, the Design Deposit is refundable only if no work has begun. Once design work begins, the Design Deposit becomes non-refundable.

(b) Production Payment.
After Customer approves the final Product Design and project quotation (including proof approval and scope), Customer shall remit a Production Payment equal to fifty percent (50%) of the total project cost, unless otherwise stated in writing. Customer may alternatively choose to pay the full project cost at this stage. The Production Payment (and any full project payment made in lieu of it) is non-refundable because Y&S Designs begins production/scheduling immediately upon receipt.

(c) Completion Payment.
If Customer pays only the Production Payment, the remaining fifty percent (50%) of the project cost (the “Completion Payment”) is collected when the Product is completed and ready for delivery, pickup, shipping, and/or installation. Payment of the Completion Payment constitutes Customer’s acceptance of the finished Product, subject to Section 14 (Notice of Claims).

4) Design

Upon receiving any required deposit, Y&S Designs shall design the Product based on the information Customer provides. Customer is responsible for providing complete and accurate information, including (as applicable) vehicle year/make/model/trim, photos, measurements, site conditions, spelling and content approval, brand colors, and required compliance notices.

Y&S Designs may present the Product Design for review and approval. Customer is responsible for reviewing and approving proofs carefully (including spelling, phone numbers, addresses, colors, layout, and dimensions) before production begins.

5) Materials and Production

Y&S Designs may use a variety of materials and vendors depending on the project requirements. Material performance can vary by substrate/surface, environmental exposure, maintenance, and installation conditions. Exact color matching across different materials (vinyl, paint, fabric, embroidery, digital screens, etc.) is not guaranteed.

6) Product Design Inaccuracies

Y&S Designs may rely solely on Customer’s information and measurements. Y&S Designs is not responsible for issues caused by inaccurate, incomplete, or incorrect Customer-provided information. Customer is responsible for any additional costs required to correct such issues, including redesign, reprint, refabrication, labor, removal, and reinstallation.

7) Customer Content

Customer acknowledges that Y&S Designs may rely on photographs, artwork, logos, graphics, text, and other materials (“Content”) supplied or made accessible by Customer. Customer represents and warrants that:
(a) all information provided is accurate;
(b) Customer owns or has rights to all Content provided; and
(c) use of such Content will not infringe any third-party rights.

Y&S Designs is not responsible for pixelation, distortion, or output issues caused by low-resolution or poor-quality Content supplied by Customer.

8) Ownership; Portfolio Use

Upon full payment, Customer receives rights to use the final approved Product and/or final approved Product Design for its intended purpose. However, unless otherwise agreed in writing, all preliminary concepts, drafts, working files, source files, and original materials created by Y&S Designs remain Y&S Designs’ property.

Y&S Designs may use photos of completed work and Product Designs in portfolios, marketing, publications, and online, unless Customer requests confidentiality in writing before work begins.

9) Printing & Installation; Substrate and Condition Disclaimer

Vehicle wraps, wall graphics, window graphics, signs, and similar Products depend heavily on substrate condition and installation conditions.

  • Surface/vehicle condition: Pre-existing issues (rust, failing clear coat, non-OEM paint, body damage, previous wraps, aftermarket parts, textured/porous surfaces, etc.) may affect adhesion and removal. Customer accepts these risks.
  • Installation/removal risks: Some paint or surface damage can occur during removal, especially with compromised paint or previous coatings.
  • Third-party installers: If Customer uses a third-party installer, any installation-related issues or damage must be addressed directly with that installer.

10) Print & Ship

If Customer elects Print & Ship, Customer assumes all risk associated with self-installation or installation by an installer of Customer’s choosing. Any warranties related to installation quality are void under Print & Ship. No refunds are available for Print & Ship Products once production begins.

11) Charges

The price for the Product is listed in the Customer’s quote/invoice/approval document. Fifty percent (50%) is due as the Production Payment upon approval and is non-refundable. The remaining fifty percent (50%) is collected as the Completion Payment at project completion (or prior to release/delivery, if stated in writing). Y&S Designs will make commercially reasonable efforts to resolve errors caused by Y&S Designs and may adjust charges if appropriate.

12) Supplemental Charges

Customer may incur additional charges for work required beyond the agreed scope or standard conditions, including but not limited to: surface prep, cleaning, removal of old graphics, wrap removal, paint correction, disassembly/reassembly, badge removal, permits, engineering requirements, lift rentals, travel, expedited/rush fees, weekend/night work, waiting time, and site-specific complications. All supplemental charges will be quoted or approved before work proceeds when practicable.

13) Scheduling; Delays

Customer acknowledges that production timelines and installation schedules may be impacted by Customer delays (approvals, vehicle/site readiness, content delivery), vendor lead times, shipping delays, weather, permitting, or other factors outside Y&S Designs’ control.

14) Customer Acceptance, Quality Standards, and Notice of Claims

Customer must notify Y&S Designs in writing of any dissatisfaction, defect, or concern related to the final Product within thirty (30) days of installation completion, delivery, or pickup (the “Review Period”). Written notice should include photos and a description of the issue and may be sent to info@ysdgraphics.com.

Commercial graphics are generally meant to be viewed from a normal distance (often several feet away). Conditions or outcomes that fall within normal industry-accepted tolerances—such as minor seams, minor wrinkles, minor alignment variation, slight color variation (especially across materials or batches), or standard material limitations—do not qualify as defects and are not eligible for repair or replacement.

Any concerns raised after the Review Period shall be deemed untimely, and Y&S Designs shall have no obligation to investigate, remedy, or respond to such claims.

15) Limited Warranty (If Offered)

Y&S Designs may, in rare cases, review issues that become apparent after the Review Period. Any warranty coverage is limited to repair or replacement that Y&S Designs determines is directly attributable to Y&S Designs’ workmanship or a material defect (as applicable). Warranty coverage does not include damage caused by misuse, improper cleaning, automatic car washes/power washing, picking/lifting edges, collisions, abrasion, chemicals, or third-party installation.

16) Legal Compliance

Customer is solely responsible for ensuring that the Product Design and Product comply with all local, state, and federal requirements, including signage ordinances, permits, and trademark/branding permissions.

17) Electronic Signatures and Communications

Electronic signatures, approvals, and communications exchanged through email, online forms, or digital platforms have the same legal effect as paper signatures.

18) Customer’s Liability / Indemnification

Customer shall defend, indemnify, and hold harmless Y&S Designs and its affiliates from all claims arising from:
(a) Customer’s breach of these Terms;
(b) Customer Content; or
(c) use or reproduction of any Product or Product Design.

19) Exclusion of Warranties

All services and Products are provided “as is” and “as available.” Y&S Designs disclaims all warranties to the fullest extent permitted by law.

20) Limitation of Liability

Y&S Designs’ total liability shall not exceed the amount paid for the applicable Product, or $100, whichever is greater. Y&S Designs shall not be liable for indirect, incidental, or consequential damages.

21) Force Majeure

Y&S Designs is not liable for delays or failures caused by events beyond its control, including natural disasters, labor issues, acts of God, cyber events, weather, permitting delays, shipping delays, or supply shortages.

22) Governing Law; Venue

These Terms are governed by Indiana law. Any legal action shall be brought exclusively in the state or federal courts located in Hendricks County, Indiana, unless otherwise required by law.

23) Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

24) Termination

Y&S Designs may terminate Customer access to the Website at any time for violating these Terms or harmful conduct.

25) Notice of Changes to Terms

Posting updated Terms on the Website constitutes notice of changes.

26) Customer Consent

By using the Website or requesting services, Customer agrees to these Terms.
